Four listed companies announced on Friday that their independent director Song Chang is under investigation by the China Securities Regulatory Commission for suspected insider trading and short-swing trading. Song is a professor at Renmin University of China, who has been called "the busiest independent director" by the media, because he has been an independent director of more than 10 listed companies in the past.
1月22日,四家上市公司發(fā)布公告稱,他們的獨立董事宋常因涉嫌內幕交易和短線交易被證監(jiān)會立案調查。宋常是中國人民大學的教授,曾因擔任十多家上市公司的獨立董事,被媒體稱為“最忙獨董”。
“最忙獨董”(the busiest independent director)宋常因同時擔任多家橫跨多個行業(yè)及地區(qū)上市公司的獨立董事,而被廣泛質疑。董事分為執(zhí)行董事(executive director)和“獨董”(independent director),也稱外部董事(outside director),是獨立于公司股東且不在公司內部任職,與公司或公司經(jīng)營管理者沒有重要的業(yè)務聯(lián)系或專業(yè)聯(lián)系,并對公司事務作出獨立判斷的董事。
宋常因涉嫌內幕交易(insider trading)和短線交易(short-swing trading)被證監(jiān)會立案調查,說明本應起到公司監(jiān)管作用的獨董,有時卻成了公司的風險敞口,甚至成為股市黑箱操作(backstage operation)的一個渠道。
比起普通投資者(ordinary investors),獨董更容易接觸內部信息。相關監(jiān)管機構應警惕獨董借機尋租(rent-seeking)。此外,高校也應警惕,一旦學者與上市公司形成利益共同體(interest community),學術勢必被污染。
