SALES CONTRACT

The Seller agrees to sell and the Buyer agrees to buy the undermentioned commodity on the terms and conditions stated below:

From Shanghaito Bostonwith partial shipments allowed.

8. Terms of Payment: T/T AT SIGHT.

10. Terms of Payment

Cash on delivery (COD): The Buyer shall pay to the Seller total amount within 30 days after the receipt of the goods.

11. Quality Guarantee

The Seller shall guarantee that upon Delivery all goods to be delivered by the Seller shall be completely new and shall comply in all material respects with Contract.

12. Claim

The Buyer shall make a claim against the Seller by the further inspection certificate and all the expenses incurred therefore shall be borne by the Seller. The claims mentioned above shall be regarded as being accepted if the Seller fails to reply within 10 days after the Seller received the Buyer's claim.

13. Effectiveness

The contract shall come into effect immediately when it is signed by duly authorized representatives of both parties.

14. Amendment

This contract shall not be changed verbally, but only by a written instrument signed by parties.

1．這是一份相對簡單的合同，由標題、前言部分、正文和尾部組成。標題全部大寫，前言部分由合同編號、日期和當事人部分組成，正文包括各條款，尾部比較簡單，沒有證明部分，只有簽名部分。

2．under-mentioned和above-mentioned分別是指“下文提到的”和“上述，上文提到的”。

3．in respect with和in respect of是合同術語，是指“在……方面”。

4．claim在合同里一般是指“索賠”，還可以用compensation，“提出索賠”的表達有“make a (one's) claim”，“register a (one's) claim”，“file a (one's) claim”，“l(fā)odge a (one's) claim”，“bring up a (one's) claim”，“make a claim with (agaist) sb.”，“make a claim for (on) sth.”等等，claim還可以作為動詞使用，如：claim for indemnity（要求索賠），claim for compensation（要求索賠）。
