This Contract is made by and between the Buyers and the Sellers, whereby the Buyers agree to buy and the Sellers agree to sell the undermentioned commodity according to the terms and conditions stipulated below:

To be packed in strong wooden cases suitable for long-distance ocean transportation and well protected against dampness, moisture, shock and rust. The Sellers shall be liable for any rust, damage and loss attributable to inadequate or improper protective measures taken by the Sellers in regard to the packing.

One month prior to the time of shipment the Buyer shall open with the bank of________an irrevocable letter of credit in favor of the Seller payable at the issuing bank against presentation of documents as stipulated under clause 9, the terms of delivery of this contract, after departure of the carrying vessel. The said letter of credit shall remain in force till the 15th day after shipment.
9. Documents
The Seller shall present the following documents to the paying bank for negotiation:
(1) Full set of clean on board Ocean/Combined Transportation/Land Bills of Lading and blank endorsed marked freight prepaid/to collect;
(2) ________copies of Packing List with indication of shipping weight, number and date of the corresponding invoice;
(3) Packing list/weight memo in________copies issued by________;
(4) Certificate of Quality in________copies issued by________;
(5) Certificate of Quantity in________copies issued by________;
(6) A copy of cable to the Buyers, advising the Buyers of the shipment immediately after it has been made.
10. Quality Guarantee
The Sellers shall guarantee that the commodity is made of best materials with first-class workmanship, brand-new and unused and complies in all respects with the quality, specifications and performance as stipulated in this Contract. The Sellers shall guarantee that the goods, when correctly mounted and properly operated and maintained, shall perform satisfactorily for a period of________months beginning from the date on which the commodity arrives at the port of destination.
11. Inspection
The manufacturers shall, before delivery, make a precise and comprehensive inspection of the goods with regard to its quality, specifications, performance and quantity/weight, and issue inspection certificates certifying the technical data and conclusion of the inspection. After arrival of the goods at the port of destination, the Buyer shall apply to China Commodity Inspection Bureau (hereinafter referred to as CCIB) for a further inspection as to the specifications and quantity/weight of the goods. If damages of the goods are found, or the specifications and/or quantity are not in conformity with the stipulations in this Contract, except when the responsibilities lie with Insurance Company or Shipping Company, the Buyer shall, within________days after arrival of the goods at the port of destination, claim against the Seller, or reject the goods according to the inspection certificate issued by CCIB. In case of damage of the goods incurred due to the design or manufacture defects and/or in case the quality and performance are not in conformity with the Contract, the Buyer shall, during the guarantee period, request CCIB to make a survey.
12. Claims:
The buyer shall make a claim against the Seller (including replacement of the goods) by the further inspection certificate and all the expenses incurred therefrom shall be borne by the Seller. The claims mentioned above shall be regarded as being accepted if the Seller fails to reply within two weeks after the Seller receives the Buyer's claim.
13. Force Majeure:
The Seller shall not be responsible for the delay of shipment or non-delivery of the goods due to Force Majeure, which might occur during the process of manufacturing or in the course of loading or transit. The Seller shall advise the Buyer immediately of the occurrence mentioned above and within 14 days thereafter, the Seller shall send by airmail to the Buyers a certificate of the accident issued by the local competent government authorities as evidence thereof. Under such circumstances the Seller, however, is still under the obligation to take all necessary measures to hasten the delivery of the goods. In case the accident lasts for more than 100 days, the Buyer shall have the right to cancel the Contract.
14. Late delivery and Penalty
Should the Seller fail to make delivery on time as stipulated in the Contract, with the exception of Force Majeure causes specified in Clause 13 of this Contract, the Buyer shall agree to postpone the delivery on the condition that the Seller agrees to pay a penalty which shall be deducted by the paying bank from the payment under negotiation. The rate of penalty is charged at________% for every________days, odd days less than________days should be counted as________days. But the penalty, however, shall not exceed________% of the total value of the goods involved in the delayed delivery. In case the Seller fails to make delivery________days later than the time of shipment stipulated in the Contract, the Buyer shall have the right to cancel the Contract and the Seller, in spite of the cancellation, shall nevertheless pay the aforesaid penalty to the Buyer without delay. The Buyer shall have the right to lodge a claim against the Seller for the losses sustained if any.
15. Additional Clause:
Conflicts between Contract clause here above and this additional clause, if any, are subject to this additional clause.
16. Original Text
This Contract is executed in two counterparts each in Chinese and English, each of which shall deem equally authentic. The Contract is in two originals, one of which is held by each party, effective since being signed (sealed) by both parties.

3.defect瑕疵,缺陷。合同中常用的短語有“l(fā)atent defect”隱蔽瑕疵,“patent”表面瑕疵。
表示“瑕疵,缺陷”的詞還有flaw, fault等,但在英語合同中,表示貨物的“缺陷,瑕疵”一般用defect。如:
The second acceptance test shall be carried out after the defects have been eliminated.第二次驗收試驗將在排除缺陷后進行。

9.單據
賣方議付貨款必須向付款行提交下列單據:
(1)全套清潔的、已裝船的、空白抬頭、空白背書并注明運費已付/到付的海運/聯(lián)運/陸運提單。
(2)裝箱單________份,注明運輸重量、發(fā)票號和日期;
(3)由________出具的裝箱或重量單一式________份;
(4)由________出具的質量證明書一式________份;
(5)由________出具的數量證明書一式________份;
(6)裝船后立即發(fā)給買方的裝船通知電報一份。
10.質量保證
賣方保證貨物全新、未曾使用過、材料質優(yōu)、做工一流,在質量、規(guī)格和性能等諸方面均符合本合同規(guī)定,并保證在安裝、操作正確和適當維修條件下,貨物正常運轉期為________月,自貨物到達目的港之日起計算。
11.檢驗
發(fā)貨前,制造廠應對貨物的質量、規(guī)格、性能和數量/重量做精密、全面的檢驗,出具檢驗證明書說明檢驗的技術數據和結論。貨到目的港后,買方將申請中國商品檢驗局(以下簡稱商檢局)對貨物的規(guī)格和數量/重量進行檢驗,如發(fā)現(xiàn)貨物殘損或規(guī)格、數量與合同規(guī)定不符,除保險公司或輪船公司的責任外,買方得在貨物到達目的港后________日內憑商檢局出具的檢驗證書向賣方索賠或拒收該貨。在保證期內,如貨物由于設計或制造上的缺陷而發(fā)生損壞或品質和性能與合同規(guī)定不符時,買方將委托中國商檢局進行檢驗。
12.索賠:
買方憑其委托的檢驗機構出具的檢驗證明書向賣方提出索賠(包括換貨),由此引起的全部費用應由賣方負擔。若賣方收到上述索賠后兩周未予答復,則認為賣方已接受買方索賠。
13.不可抗力:
凡在制造或裝船運輸過程中,因不可抗力致使賣方不能或推遲交貨時,賣方不負責任。在發(fā)生上述情況時,賣方應立即通知買方,并在通知后14天內,給買方航郵一份由當地主管部門出具的證書。在此情況下,賣方仍有責任采取一切必要措施加快交貨。如事故延續(xù)100天以上,買方有權撤銷合同。
14.遲交貨與罰款:
除合同第13條不可抗力原因外,如賣方不能按合同規(guī)定的時間交貨,買方應同意在賣方支付罰款的條件下延期交貨。罰款可由議付銀行在議付貨款時扣除,罰款率按每________天收________%,不足________天時以________天計算。但罰款不得超過遲交貨物總價的________%。如賣方延期交貨超過合同規(guī)定________天時,買方有權撤銷合同,此時,賣方仍及時按上述規(guī)定向買方支付罰款。買方有權對因此遭受的其它損失向賣方提出索賠。
15.附加條款:
本合同上述條款與本附加條款抵觸時,以本附加條款為準。
16.正本條款
本合同用中英文兩種文字寫成,兩種文字具有同等效力。正本兩份,雙方各執(zhí)一份。自雙方代表簽字(蓋章)之日起生效。
